1. Scope of Work
Our agency will provide comprehensive social media marketing services tailored to your brand’s objectives. The deliverables include content creation, campaign management, analytics reporting, and strategic guidance across multiple platforms including instagram, facebook, tiktok, linkedin, pinterest, and twitter (x). The client is responsible for providing all necessary assets, including brand guidelines, high-resolution logos, login access, and timely approvals for content and campaigns. Any required revisions or edits will be unlimited, ensuring that the final output meets the client’s expectations. Our dedicated team is committed to delivering high-quality work within the agreed timelines while maintaining professionalism, creativity, and consistency. Clients will also have access to 24/7 support for any questions or issues related to the services provided.

2. Fees and Payment Terms
The pricing model may be structured as a retainer with a fixed monthly fee, project-based pricing, or hourly rates depending on the scope of work. Clients must pay 50% upfront before work commences, with the remaining balance invoiced according to the agreed schedule. Late payments may incur penalties, including a 30% fee after 30 days or temporary suspension of services until payment is received. Any additional expenses, such as ad spend, stock images, or third-party tools, will be reimbursable by the client.

3. Contract Duration and Termination
The contract may be a fixed-term engagement for one month or month-to-month with an auto-renewal clause. Either party may terminate with 30 days’ written notice. Early termination may require fees of up to 50% of the remaining balance, depending on services already delivered.

4. Intellectual Property Rights
Upon full payment, the client will retain ownership of all content, graphics, and deliverables. The agency retains rights to proprietary strategies, templates, and tools unless a separate licensing agreement is established.

5. Confidentiality and Data Protection
All client information, including business strategies, analytics, and sensitive data, will remain confidential. A non-disclosure agreement (nda) prohibits sharing client data with third parties. Data handling complies with gdpr and ccpa, ensuring security and responsible management.

6. Liability and Disclaimers
While the agency applies its expertise to achieve results, outcomes depend on market conditions and external factors beyond our control. The agency commits to using best practices and strategic efforts aiming to increase revenue 2x. Liability is limited to operations, and indirect or consequential damages are excluded.

7. Dispute Resolution
Disputes will first undergo mediation. If unresolved, matters may proceed to arbitration or litigation in the jurisdiction specified, including uk or delaware courts.

8. Sample Work and Portfolio Rights
The agency reserves the right to showcase work in portfolios, case studies, or marketing materials unless the client opts out in writing.

9. Force Majeure
The agency is not responsible for delays caused by unforeseen events, including natural disasters, pandemics, or government regulations. Procedures will mitigate impact and ensure continuity of services.

10. Governing Law
This agreement is governed by bangladesh law, with disputes not resolved through mediation or arbitration handled by bangladesh courts.
